Advisory services

The Central depository as the largest institute of stock market provides the clients with about 30 kinds of depository services and services related to depository activity.

Since 2014 the Central depository introduces a new type of service: advisory services to joint-stock companies when performing their corporate actions and preparing of Securities Issue Prospectus.

DEVELOPMENT OF INTERNAL NORMATIVE DOCUMENTS OF JOINT-STOCK COMPANY

1. Preparation of the draft of JSC Articles of Association in a new edition.
2. Preparation of the draft of amendments and additions to JSC Articles of Association.
3. Preparation of the draft of Regulations on the Management and Control Bodies (Shareholders Meeting, Supervisory Council, Executive Body,  Audit Committee).
4. Preparation of the draft of other internal JSC documents in accordance with the principles of corporate governance.
5. Preparation of other documents related with corporate actions and securities circulation.

DOCUMENTATION PACKAGE PREPARATION Of  SECURITIES ISSUE

1. Documentation package preparation for the state registration of securities issue is required in:

Establishment of joint-stock company (initial issue);

Reorganization of state enterprise into JSC (initial issue);

Increase of authorized capital by placement of authorized shares (additional issue);

Increase of authorized capital through capitalization of equity capital by increasing securities nominal value (new issue);

Increase of authorized capital through capitalization of equity capital by additional issue of shares (additional issue);

Stock split (new issue);

Reverse Stock Split (new issue)

Conversion from one type of securities to another;

Reorganization of JSC. 

2. Documentation package preparation for implementing the amendments and additions to previously registered securities issue is required in:

Change of a company name of the issuer, including the change from Cyrillic to Latin letters;

Change of the form of securities issue;

Change of the form of joint-stock company;

Extension of placement period within the term established by the legislation;

Incomplete placement;

Reducing the total number of shares with a view of reduction of authorized capital of a company. 

3. Documentation package preparation for removing securities issue from a Unified State Registration of Securities issue is required in: 

recognizing an issue of securities as invalid;

Issuer reorganization;

Issuer liquidation;

Presence of the respective decision of the Court;

Redemption of issuing bonds.
